3. Client Obligations

As a client of Shoptegic Limited, you agree to:

• Provide accurate and complete information about your import requirements
• Disclose all relevant details about the products you wish to import
• Comply with all applicable laws and regulations regarding imported goods
• Ensure that all products meet UK safety, quality, and labelling standards
• Pay all fees and charges as agreed in our service contracts
• Cooperate with us in obtaining necessary documentation and permits
• Notify us promptly of any changes to your import requirements

4. Fees and Payment

Service Fees

Our fees will be specified in individual service agreements or quotations. Fees may include:

• Professional service charges for sourcing, compliance, and consultancy
• Freight and transportation costs
• Customs duties and taxes (paid directly to HMRC)
• Warehousing and storage fees
• Additional charges for special services or requirements

Payment Terms

Unless otherwise agreed in writing:

• You shall pay all fees within 14 days of invoice date
• Payments shall be made in British Pounds (GBP)
• Late payments may incur interest at 4% above the Bank of England base rate
• We may suspend services if payment is not received within 30 days

5. Intellectual Property

6. Limitation of Liability

Our Liability

• We recommend but do not mandate cargo insurance
• Delivery times are estimates and not guaranteed
• You are responsible for ensuring goods are properly packaged and labelled
• Customs delays or refusals are not our responsibility

8. Customs and Compliance

Regarding customs clearance and compliance services:

• We will process declarations based on information you provide
• You remain responsible for the accuracy of all information submitted
• We do not guarantee customs approval or clearance times
• You must ensure all goods comply with UK import regulations
• Any fines or penalties resulting from incorrect information are your responsibility

9. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party. This includes business information, customer details, pricing, and trade secrets. Confidentiality obligations shall survive for 3 years after termination of our agreement.

10. Termination

By You

You may terminate our services at any time by providing written notice. You shall pay for all services rendered up to the termination date.

By Us

We may terminate our services if:

• You fail to pay fees within the agreed timeframe
• You breach any terms of this agreement
• You engage in illegal activities
• We cease providing the relevant services

11. Dispute Resolution

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us first to attempt to resolve any disputes amicably.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
